RIPPA MAP POLICY & PRICING ADJUSTMENT NOTICE

1. MAP Policy Definition

MAP stands for Minimum Advertised Price. It is the unilaterally established minimum advertised

net price at which RIPPA products ("Covered Products") may be publicly advertised or promoted.

MAP applies to advertised prices only. Each partner remains entirely independent and retains sole discretion to  determine its own actual resale prices in compliance with applicable law.

2. Policy Purpose

The purpose of this policy is to protect and promote the long-term reputation and brand equity of RIPPA, foster a fair and orderly competitive environment across our distribution network, and support authorized partners who make ongoing investments in product showrooms, inventory, customer service, technical training, and after-sales support.

3. Unilateral Policy Statement

This MAP policy is formulated and implemented unilaterally by RIPPA. RIPPA does not seek, accept, or solicit any agreement, assent, or compliance commitment from any distributor, dealer, or partner.

All distributors and dealers retain the right to independently determine their actual transaction prices. No RIPPA sales representative, employee, or agent has the authority to modify, interpret, negotiate, or waive any provision of this policy, whether orally or in writing.

4. Policy Enforcement

RIPPA reserves the right to independently monitor publicly displayed prices, including prices shown on official websites, third-party marketplaces, online advertisements, printed promotions and other public marketing channels. Advertised prices also encompass 'add to cart for price', strike-through pricing where the discounted price shown below it falls below MAP, and automated discount pop-ups.

If the advertised price contained in a public advertisement is found to be below the applicable MAP, RIPPA may, at its sole discretion, take corrective measures including but not limited to:

1. Withholding, reducing, or canceling quarterly/annual sales rebates and marketing development funds (MDF);

2. Suspending order processing, warranty incentives, or pending equipment shipments;

3. Downgrading partner tier status or terminating authorized distribution rights.

After the violation has been corrected and compliance has been confirmed, RIPPA may decide, at its sole discretion, whether to restore any or all of the benefits previously withheld or suspended

in RIPPA's sole discretion.

5. Explanation of MSRP and MAP

MSRP means Manufacturer's Suggested Retail Price. It is provided as a brand reference price only and may be displayed in promotional materials where permitted by applicable law.

MAP is the official minimum advertised price for public advertisements and promotional materials. Partners must not publicly advertise Covered Products below the applicable MAP.

This policy does not require a partner to charge any specific transaction price and does not restrict private price negotiations with customers.

6. Effective Date

This policy takes effect as of  September 20, 2026, and completely supersedes all prior price lists, notices, and communications concerning minimum advertised pricing.
